1. ACCEPTANCE

These Terms of Use (“Terms”) govern your access to and use of veloqua.co and all Veloqua platform services. By accessing our website or registering for our platform, you agree to these Terms. If you do not agree, you must not use our services.

Veloqua Ltd reserves the right to update these Terms at any time. Changes are effective upon posting. Continued use constitutes acceptance.

2. ABOUT VELOQUA

Veloqua Ltd (Registration No. REG-2026-566448) is a Rwanda-incorporated financial technology company. Our parent company is Apex Global Payments LLC d/b/a Veloqua Holdings (Georgia, USA). We operate a technology platform that facilitates agricultural trade finance services for verified cooperatives and importers. We are not a bank. We do not take deposits. Veloqua operates under an agent-of-payee structure: payment is collected on behalf of the payee cooperative, and settlement to cooperatives is handled through our banking partner in Rwanda.

Veloqua is preparing its application to the National Bank of Rwanda Regulatory Sandbox. Certain financial services described on our website are subject to regulatory authorization before they are offered to the public.

3. PLATFORM SERVICES

Subject to these Terms, registration, verification, and where applicable regulatory authorization, Veloqua provides:

  • Agricultural trade finance facilitation services for verified cooperative exporters
  • Importer partnership services for verified US agricultural importers
  • Supply chain documentation and compliance reporting services
  • Data and analytics services for authorized institutional subscribers
  • Technology and infrastructure services for authorized platform partners

Not all services are available in all jurisdictions or to all users. Availability is subject to regulatory approval, KYC verification, and applicable eligibility criteria. Veloqua reserves the right to modify, suspend, or withdraw any service at any time.

4. REGISTRATION AND VERIFICATION

Access to platform services requires registration and successful identity and organizational verification. You must:

  • Provide accurate, current, and complete information during registration
  • Submit all required KYC documentation promptly and honestly
  • Maintain and update your account information to keep it accurate
  • Keep your login credentials confidential and notify us immediately of any unauthorized access

We reserve the right to refuse registration, suspend, or terminate accounts at our discretion, including where verification fails, information is false, or activity suggests misuse, fraud, or regulatory risk.

5. ACCEPTABLE USE

You agree that you will not:

  • Use our platform for any unlawful purpose or in violation of applicable financial regulations
  • Attempt to circumvent, bypass, or interfere with our platform, security systems, or payment infrastructure
  • Submit false, forged, or misleading documents or information
  • Use our platform to facilitate money laundering, terrorist financing, or sanctions evasion
  • Attempt to directly contact, solicit, or transact with any counterparty introduced through our platform outside of the platform. Such conduct may constitute a breach of your platform agreement and give rise to liability
  • Reverse engineer, copy, distribute, or attempt to replicate any part of our platform, technology, or services
  • Scrape, harvest, or extract data from our platform without authorization

6. INTELLECTUAL PROPERTY

All content on veloqua.co including text, graphics, logos, data, platform architecture, and software is the property of Veloqua Ltd or its licensors and is protected by applicable intellectual property law. A trademark application for the VELOQUA mark has been filed with the United States Patent and Trademark Office and is currently pending.

Nothing in these Terms grants you any license to use our intellectual property. You may view and print pages for personal, non-commercial reference only.

7. DATA AND PLATFORM CONTENT

Data and content generated through your use of our platform, including transaction records, performance data, and cooperative profiles, is processed in accordance with our Privacy Policy. You grant Veloqua a non-exclusive license to use, process, and retain your platform data for the purposes described in our Privacy Policy, including the production of aggregated and anonymized datasets.

You retain ownership of your own business data. We retain ownership of platform-generated aggregated datasets, analytics, and derivative works produced from de-identified platform data.

8. DISCLAIMERS

Our website and platform are provided on an as-is and as-available basis. We make no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of any information on our website. Veloqua is not a licensed financial advisor. Nothing on our website constitutes financial, legal, investment, or tax advice.

Platform services are subject to regulatory authorization. We do not guarantee that any service will be available in your jurisdiction or that any application will be approved.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Veloqua Ltd and Apex Global Payments LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our website or platform services. Our aggregate liability to you for any claim shall not exceed the total fees paid by you to Veloqua in the twelve months preceding the claim.

10. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the Republic of Rwanda. Disputes arising from use of our services in Rwanda shall be subject to the jurisdiction of the courts of Rwanda. Disputes involving our US parent company operations shall be subject to the laws of the State of Georgia, USA.
